1. Agreement to Terms

Welcome to SipSure! These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and AI Lattice LLC ("Company," "we," "us," or "our") governing your access to and use of the SipSure mobile application ("App") and related services (collectively, the "Service").

By downloading, installing, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Service.

Eligibility: You must be at least 21 years of age to use the Service. By using SipSure, you represent and warrant that you are at least 21 years old and have the legal capacity to enter into these Terms.

Modifications: We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms in the App or sending you a notification. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.

2. Description of Service

SipSure is a wine and spirits recommendation application designed to help casual drinkers feel confident about beverage selection. The Service provides:

3. User Accounts and Obligations

Account Creation: To access certain features of the Service, you may need to create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use.

Age Verification: By using the Service, you confirm that you are at least 21 years of age. We reserve the right to request proof of age at any time and to terminate accounts of users who misrepresent their age.

Lawful Use: You agree to use the Service only for lawful purposes and in accordance with these Terms and all applicable laws and regulations.

Ownership: The Service and its original content, features, and functionality are owned by AI Lattice LLC and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

Limited License: Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on a device that you own or control, solely for your personal, non-commercial use.

Trademarks: "SipSure™," our logo, and all related names, logos, product and service names, designs, and slogans are trademarks of AI Lattice LLC or its affiliates. You may not use such marks without our prior written permission.

User Content: By submitting content through the Service (such as taste preferences or reviews), you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such content in connection with operating and improving the Service.

6. Subscriptions and In-App Purchases

6.1 Free Tier (Freemium)

SipSure offers a free tier that includes core scanning functionality, basic recommendations, and access to affiliate purchase links. Free tier usage is subject to the following monthly limits:

SipSure offers a consumable in-app purchase for occasional premium access:

Single Use passes are non-refundable once the session begins (i.e., once you use a premium feature after purchase).

Billing: Payment will be charged to your Apple App Store or Google Play Store account at confirmation of purchase.

Auto-Renewal: Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period. Your account will be charged for renewal within 24 hours prior to the end of the current period.

Price Changes: We may change subscription prices from time to time. Price changes will take effect at the start of the next subscription period following the date of the price change.

Cancellation: You may cancel your subscription at any time through your device's app store settings. Cancellation will take effect at the end of the current billing period. No refunds will be provided for partial billing periods.

Restore Purchases: You may restore previously purchased subscriptions and passes at any time through the "Restore Purchases" option in the App settings.

7. Affiliate Commerce and Third-Party Links

7.1 Affiliate Disclosure

IMPORTANT: SipSure participates in affiliate commerce programs. When you click on links to third-party retailers through the App and make a purchase, we may earn a commission at no additional cost to you. This includes but is not limited to purchases made through Saucey, Firstleaf, Wine.com, Flaviar, Plonk, and other partner retailers.

The Service may contain links to third-party websites, services, or retailers that are not owned or controlled by SipSure. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party sites or services.

"As Is" Service: THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

No Professional Advice: SipSure does not provide professional advice regarding wine, spirits, health, or investment. Our recommendations are for informational and entertainment purposes only. Always consult qualified professionals for expert guidance.

Accuracy: While we strive for accuracy, we do not warrant that the information provided through the Service is complete, accurate, reliable, current, or error-free. Beverage information, prices, availability, and ratings may change without notice.

Responsible Consumption: SipSure encourages responsible alcohol consumption. We are not responsible for any harm resulting from the misuse of alcohol or any decisions you make based on information provided through the Service.

AI Limitations: Our AI-powered recommendations are based on algorithms and user preferences. They may not always align with your actual taste or preferences, and should be used as a starting point for exploration, not as definitive guidance.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AI LATTICE LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO AI LATTICE LLC IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

You agree to defend, indemnify, and hold harmless AI Lattice LLC and its officers, directors, employees, agents, and affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from:

Termination by You: You may terminate your account at any time by deleting the App and discontinuing use of the Service. To cancel subscriptions, you must do so through your device's app store settings before termination.

Termination by Us: We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Effect of Termination: Upon termination, your right to use the Service will cease immediately. All provisions of these Terms that should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law and Dispute Resolution

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.

Dispute Resolution: Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through informal negotiation. If the dispute cannot be resolved informally, the parties agree to submit to binding arbitration in Austin, Texas, in accordance with the rules of the American Arbitration Association.

Class Action Waiver: YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

Exceptions: Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

13. General Provisions

Entire Agreement: These Terms constitute the entire agreement between you and SipSure regarding the Service and supersede all prior agreements and understandings.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Waiver: No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
